Terms of Service

These Terms of Service (these "Terms") govern your access to and use of the website located at https://kaligon.com (the "Site"), operated by Kaligon Ltd. ("Kaligon", "we", "us", or "our"), a company incorporated under the laws of the State of Israel, company registration number 515713865, with its registered office at Eli Horovitz 4, 1st floor, Rehovot, Israel 7608811. Please read these Terms carefully before using the Site.

1. Acceptance of Terms

By accessing, browsing, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Site.

If you use the Site on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

You represent that you are of legal age to form a binding contract under the laws applicable to you, or that you are using the Site under the supervision of a parent or legal guardian who agrees to these Terms on your behalf.

2. The Site and Our Services

Kaligon is a deep-tech engineering and product-development studio. We support entrepreneurs and companies across the full product life cycle — including research and development, hardware and software co-design, prototyping, and taking products from concept to production.

The Site provides general information about Kaligon and its services, project and case-study pages, editorial and technical writing, and means of contacting us. The Site is an informational marketing website; nothing on the Site constitutes a binding offer to provide services.

Any professional engagement between you and Kaligon — including engineering, development, design, or consulting services — is governed exclusively by a separate written agreement signed by both parties (such as a master services agreement, statement of work, or proposal). In the event of any conflict between these Terms and such an agreement, the separate written agreement will prevail with respect to the services it covers.

3. Intellectual Property

The Site and all of its content — including text, graphics, logos, icons, images, photographs, illustrations, videos, animations, 3D models, audio, page layouts, designs, software, source code, and the selection and arrangement thereof (collectively, the "Content") — are owned by Kaligon or its licensors and are protected by the copyright, trademark, and other intellectual-property laws of the State of Israel (including the Copyright Law, 5768-2007) and by applicable international treaties and laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view the Site and the Content for your personal or internal business informational purposes only.

Except as expressly permitted by these Terms or by mandatory applicable law, you may not copy, reproduce, republish, distribute, publicly display, publicly perform, transmit, modify, adapt, translate, create derivative works from, sell, license, or otherwise exploit any part of the Site or the Content without our prior written consent.

"Kaligon", the Kaligon logo, and all related names, logos, product and service names, designs, and slogans are trademarks or trade names of Kaligon or its affiliates. You may not use such marks without our prior written permission. All other names, logos, and marks appearing on the Site are the property of their respective owners.

If you choose to send us any ideas, suggestions, or feedback regarding the Site or our services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose, without compensation or attribution to you, and you represent that the Feedback does not infringe the rights of any third party.

4. Acceptable Use

You agree to use the Site only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you agree that you will not:

  • use the Site in any way that violates any applicable law or regulation, including the laws of the State of Israel;
  • attempt to gain unauthorized access to, interfere with, damage, or disrupt the Site, the servers on which it is hosted, or any systems or networks connected to it;
  • introduce or transmit viruses, worms, trojan horses, malware, or any other material that is malicious or technologically harmful;
  • use any robot, spider, scraper, crawler, or other automated means to access the Site or collect Content, data, or personal information from it, except as permitted by standard search-engine indexing;
  • circumvent, disable, or otherwise interfere with any security-related features of the Site;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity, including when contacting us;
  • use the Site to send unsolicited advertising or promotional material, spam, or any other form of solicitation;
  • frame, mirror, or deep-link to the Site in a misleading manner or in a way that implies endorsement by Kaligon; or
  • use the Site or the Content to develop, train, or improve any competing product or service.

We may suspend, restrict, or terminate your access to the Site at any time, without notice, if we reasonably believe you have violated these Terms or applicable law.

5. Information You Send Us

The Site carries no contact form. If you choose to contact us — by email, by phone, or through the WhatsApp link the Site's "Start a project" buttons open — you represent and warrant that all information you send is accurate, current, and complete, that you are entitled to provide it, and that it does not infringe or violate the rights of any third party.

By contacting us, you authorize us to use the information you send to respond to your inquiry, to communicate with you, and as otherwise described in our Privacy Policy. Our collection and processing of personal information is governed by our Privacy Policy, available at kaligon.com/privacy.

Please do not send us confidential or proprietary information before a confidentiality agreement is in place. Any such disclosure is made at your own risk, and no confidential relationship is created between you and Kaligon unless and until a written agreement providing otherwise is signed by both parties.

6. Third-Party Links and Content

The Site contains links to third-party websites and services — including WhatsApp, our social profiles, and the websites of projects we have built — and may display content originating from third parties. Such links and content are provided for your convenience only. We do not control, endorse, or assume any responsibility for third-party websites, services, resources, or content, including their accuracy, legality, or privacy practices.

Your use of any third-party website or service is at your own risk and subject to that third party's terms and policies. We encourage you to review the terms and privacy policies of any third-party website you visit.

7. Disclaimer of Warranties

THE SITE AND THE CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KALIGON DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

Without limiting the foregoing, we do not warrant that the Site will be uninterrupted, timely, secure, or error-free; that defects will be corrected; that the Site or the servers that make it available are free of viruses or other harmful components; or that the Content is accurate, complete, reliable, current, or suitable for any particular purpose.

The Content — including project pages, case studies, and technical or business commentary — is provided for general informational purposes only. It does not constitute engineering, legal, financial, or other professional advice, and you should not act or refrain from acting on the basis of the Content without seeking appropriate professional advice for your specific circumstances.

Nothing in these Terms is intended to exclude or limit any warranty or right that cannot be excluded or limited under mandatory applicable law, including mandatory provisions of Israeli consumer-protection law where applicable.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL KALIGON OR ITS DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR THE CONTENT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF KALIGON AND ITS DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, AGENTS, CONTRACTORS, AND LICENSORS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE THOUSAND NEW ISRAELI SHEKELS (NIS 1,000).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the laws of the State of Israel or other mandatory applicable law, including liability for fraud or for death or personal injury caused by negligence, where such exclusion or limitation is prohibited.

9. Indemnification

You agree to indemnify, defend, and hold harmless Kaligon and its directors, officers, employees, shareholders, agents, contractors, and licensors from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Site or the Content; (b) your violation of these Terms; (c) your violation of any applicable law or of the rights of any third party; or (d) any information or material you send us.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of that claim.

10. Privacy

Our collection, use, and protection of personal information in connection with the Site are described in our Privacy Policy, available at kaligon.com/privacy. The Privacy Policy has been prepared with regard to the Israeli Protection of Privacy Law, 5741-1981, and its regulations, and addresses the rights of visitors from the European Economic Area and other jurisdictions.

11. Governing Law and Jurisdiction

These Terms, the Site, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict-of-law principles.

The competent courts of the Tel Aviv-Jaffa district, Israel, will have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or your use of the Site, and you irrevocably submit to the jurisdiction of those courts. Nothing in this section limits any mandatory rights you may have under the consumer-protection laws of your country of residence, to the extent those rights cannot be waived by agreement.

12. Changes to These Terms

We may revise these Terms from time to time at our sole discretion, including to reflect changes in our services, in the Site, or in applicable law. The revised Terms will be posted on this page with an updated "Last updated" date, and take effect upon posting unless stated otherwise.

Your continued use of the Site after revised Terms have been posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site. We encourage you to review this page periodically.

13. General Provisions

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kaligon regarding your use of the Site and supersede all prior understandings regarding that subject matter, except as set out in Section 2 with respect to separate written service agreements.

Severability. If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable (or, if that is not possible, severed), and the remaining provisions will continue in full force and effect.

No waiver. No failure or delay by Kaligon in exercising any right under these Terms operates as a waiver of that right, and no single or partial exercise of any right precludes any further exercise of it.

Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Force majeure. We will not be liable for any failure or delay in the operation of the Site resulting from causes beyond our reasonable control.
